THIS TERMS OF USE AGREEMENT (the “Agreement”)

constitutes a legally binding agreement by and between KAMZ LLC, a limited liability company organized under the laws of the state of Virginia, operating under the name "ShareFlow" and/or ShareFlowX (hereinafter “ShareFlow”) and the client, whether personally or on behalf of an entity(“Client”), concerning access and use of ShareFlow’s services related to Microsoft 365 administration/development. Failure to agree and adhere to all of the terms, conditions, and obligations contained herein results in the express prohibition of the Client’s use of ShareFlow’s services, and the Client is ordered to discontinue use immediately. Thereafter the relationship between Client and ShareFlow shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay ShareFlow for services rendered shall remain and continue to be an ongoing obligation owed by Client to ShareFlow.

1. Intellectual Property Rights

Unless otherwise indicated, all intellectual properties related to ShareFlow’s services are the property of ShareFlow. All related materials, functionalities, designs, and trademarks (collectively, the “Content”) are owned and controlled by ShareFlow and are protected by copyright, trademark, and other applicable intellectual property laws of the United States, foreign jurisdictions, and international conventions. The Content is provided “As-Is” for the Client’s information and use only. Except as expressly provided herein, no part of the Content may be copied, reproduced, aggregated, or otherwise exploited for any commercial purpose without ShareFlow’s express prior written permission. ShareFlow reserves all rights in the Content.

2. Ownership of Materials

All designs, configurations, flows, and source files created on Client’s behalf (“Projects”) belong to the Client, and the Client shall be the sole owner of the rights for all Projects. If any operation of law would cause ShareFlow to become the owner of a Project, in whole or in part, rather than the Client, ShareFlow irrevocably assigns its entire interest in the Project to the Client. The Client warrants that any materials provided to ShareFlow do not infringe on any third party’s rights. The client, and it’s affiliates, will not redistribute the work of the client for monetary gain. ShareFlow reserves the right to showcase the Client's work publicly unless otherwise agreed upon in section 18.

3. Third-Party Software

If any Project incorporates software or tools not owned byShareFlow that require licenses for their use, ShareFlow will inform theClient. The Client is responsible for obtaining the necessary licenses andbears all responsibility for any consequences due to a failure to do so.

5. User Representations

By using ShareFlow’s services, Client represents and warrants that: Client has the legal capacity and agrees to comply with these Terms of Use; Client is not a minor in the jurisdiction of their domicile; Client will not use the services for any illegal or unauthorized purpose; Client’s use of the services will not violate any applicable law or regulation.

6. Prohibited Activities

Client shall not use ShareFlow’s services for any purpose other than that for which the services are made available. The services may not be used in connection with any commercial endeavors except those related to the work performed by ShareFlow on behalf of the Client. Prohibited activities include but are not limited to unauthorized use of the services, data retrieval for unauthorized purposes, interference with security features, unauthorized framing or linking, tricking or defrauding ShareFlow, and any other unauthorized or illegal activities as determined by ShareFlow.

7. Client Feedback

Client acknowledges and agrees that any feedback or submission shall be the property of ShareFlow. ShareFlow is under no obligation to keep a submission confidential. ShareFlow shall own all rights related to the submission, and may use the submission for any lawful purpose without permission or compensation to the Client.

8. Management and Oversight

ShareFlow reserves the right to monitor for violations of these Terms of Use and to take legal action as necessary. ShareFlow can restrict or deny access to its services at its discretion. All decisions regarding the management of the services shall be at the discretion of ShareFlow.

9. Privacy Policy

By using ShareFlow’s services, Client agrees to the Privacy Policy. The services are hosted in the United States. Access from other regions may be subject to different laws regarding personal data. Client’s use of theservices constitutes consent to data processing in the US. ShareFlow does not knowingly collect information from individuals under 18.

10. Returns and Refunds

ShareFlow reserves the right to handle refunds at its discretion. Refund requests are assessed on a case-by-case basis. If a refund is issued during the first month of use, all materials produced by ShareFlow remain its property and cannot be used by the Client. If a refund is deemed appropriate, a 25% fee may be applied.

11. Modification

ShareFlow reserves the right to modify its services or content at any time and for any reason at its discretion. Changes may be made without notice or liability to the Client.

12. Connection Interruptions

ShareFlow does not guarantee uninterrupted access to its services. Interruptions or errors beyond ShareFlow’s control may occur. ShareFlow is not liable for any issues resulting from interruptions or errors.

13. Governing Law

These Terms of Use are governed by the laws of the State of Virginia, without regard to conflicts of law principles.

14. Litigation

Any legal action shall be brought in the state courts of Virginia. The parties consent to personal jurisdiction in said courts.

15. Disclaimer

ShareFlow’s services are provided as-is and as-available. ShareFlow disclaims all warranties related to the services. ShareFlow is not responsible for any third-party products or services.

16. Limitations of Liability and Indemnification

ShareFlow and its affiliates are not liable for any damages or losses arising from the Client’s use of the services. The Client agrees to indemnify ShareFlow against any claims or demands.

17. User Data

The Client is responsible for all data related to their useof ShareFlow’s services. ShareFlow is not liable for any loss or corruption ofdata.

18. Electronic Communications

Client consents to receive electronic communications fromShareFlow and agrees to electronic transactions and signatures.

19. Showcasing Work

ShareFlow may showcase the Client's work publicly unless otherwise agreed upon. The Client may request an NDA, which would void ShareFlow’s right to showcase the work showing customer's company name publicly.

20. Referrals

Referral tracking and payouts are handled through our third-party partner.

21. Understanding Scope-of-Offerings

The client understands that services available depend on their subscription tier. ShareFlow reserves the right to change the offerings at any time. Current offerings are available: OOTB SharePoint Administration, Teams (Non-VoIP) Administration, Standard (In-Tenant) Power Automate Development, Microsoft Forms Development, Microsoft 365 Admin Center Administration.

22. Miscellaneous

These Terms of Use constitute the entire agreement between the Client and ShareFlow. Failure to enforce any provision does not constitute a waiver. If any provision is found unlawful or unenforceable, it will be severed but will not affect the validity of the remaining provisions.
